Terms and Conditions

1. Introduction
Welcome to EJD Talent Solutions. These Terms and Conditions ("Terms") govern the contractual relationship between EJD Talent Solutions (Pty) Ltd ("Company", "we", "us", or "our") and our clients ("Client", "you", or "your") for recruitment and talent acquisition services.

By engaging our services, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, please do not engage our services.

3. Services Provided
EJD Talent Solutions provides professional recruitment and talent acquisition services, including but not limited to:

Talent sourcing and headhunting
Shortlisting and screening of candidates
CV submissions
Interview coordination
Remote and on-site candidate placements
Industry-agnostic recruitment support
We serve clients both locally and internationally, across all levels of employment.

Specific services will be detailed in individual service agreements or statements of work.

4. Client Obligations
The Client agrees to:

Provide accurate and complete job specifications and requirements
Respond to candidate submissions within agreed timeframes
Conduct interviews and assessments in a professional and timely manner
Provide feedback on candidates within 5 business days of interview completion
Notify EJD Talent Solutions immediately of any changes to job requirements
Comply with all applicable employment laws and regulations
Maintain confidentiality of candidate information
Inform EJD immediately upon hiring a referred candidate.

5. Fees and Payment Terms
5.1 Payment Structure
EJD Talent Solutions operates on a performance-based module.

100% of the placement is due upon the candidate's confirmed start date.
Invoices must be settled within 7 (Seven) calendar days of the candidate's start date.

5.2 Exclusivity
Unless otherwise agreed in writing, EJD Talent Solutions does not operate on an exclusive basis.
Clients may engage multiple recruitment agencies for the same position.
Payment is due to the agency that successfully places the candidate, regardless of other agencies involved.

5.3 Payment Window
Payment terms are strictly 7 calendar days from the candidate's start date.
Late payment may result in suspension of services until account is settled.
Interest may be charged on overdue accounts at a rate of 2% per month.
All bank charges and collection costs are for the client's account.

5.4 Definition of "Placement"
A "placement" occurs when a candidate referred by EJD Talent Solutions accepts an offer of employment.
Payment is due regardless of whether the candidate was the first choice or selected from multiple submissions.
Placement fees apply to both permanent and contract positions as specified in the service agreement.
Re-engagement of a previously submitted candidate within 12 months constitutes a placement.

5.5 Candidate Rehire Clause
If a client hires a candidate previously submitted by EJD Talent Solutions within 12 months of initial submission, full placement fees apply.
This applies regardless of how the candidate was re-contacted or re-engaged.
The 12-month period begins from the date of the candidate's CV submission or interview.
Clients must notify EJD immediately if they intend to hire a previously submitted candidates.

6. Guarantee Period
Candidate Guarantee: If a candidate leaves or is terminated within stipulated days of starting employment, we may offer one free replacement (terms and conditions apply). No refunds will be issued.

The guarantee does not apply in cases of redundancy, company restructuring, or dismissal for misconduct.

7. Confidentiality
Both parties agree to maintain strict confidentiality regarding:

Candidate personal and professional information
Client business information and requirements
Salary and compensation details
Any proprietary or sensitive information shared during the engagement
This confidentiality obligation survives termination of the service agreement.

8. Limitation of Liability
EJD Talent Solutions shall not be liable for:

Any losses, damages, or costs incurred by the Client due to a candidate's actions, negligence, misconduct, or failure to meet expectations
Delays in delivery or sourcing due to factors beyond our control
Any indirect or consequential damages
Any consequences arising from a client's breach of employment laws or regulations
We make no guarantees regarding candidate performance, longevity, or culture fit beyond our vetting process.

9. Termination
Either party may terminate the service agreement with 30 days written notice. Upon termination:

All outstanding fees become immediately due and payable
Confidentiality obligations remain in effect
Any ongoing recruitment processes will be completed or transferred as agreed
Guarantee periods for existing placements remain valid
10. Force Majeure
We shall not be held liable for delays or non-performance due to events outside our control, including but not limited to: natural disasters, government restrictions, internet outages, or third-party service failures.

11. Governing Law and Jurisdiction
These Terms are governed by the laws of South Africa. Any disputes arising from these Terms or our services shall be subject to the exclusive jurisdiction of the South African courts.

We encourage resolution of disputes through mediation before pursuing legal action.

12. Amendments and Updates
We reserve the right to update these Terms at any time. Clients will be notified of material changes via email or through our website. Continued use of our services after such changes constitutes acceptance of the updated Terms.

13. Acceptance
By using our services, paying an invoice, or engaging with EJD Talent Solutions, you confirm that you have read, understood, and agree to these Terms and Conditions.
